("Papertrail," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use our Services.

Papertrail provides a document collection and management platform that enables businesses to:

• Send secure document requests to clients with branded upload portals

• Automate follow-up reminders for outstanding document requests

• Process, organize, and categorize documents using AI-powered tools

• Track document collection progress through real-time dashboards

• Store and manage business documents securely

To use our Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

• Upload, transmit, or store any content that is illegal, harmful, threatening, abusive, or otherwise objectionable

• Use the Services to collect documents or information through deceptive or fraudulent means

• Attempt to gain unauthorized access to our systems or other users' accounts

• Interfere with or disrupt the integrity or performance of the Services

• Reverse engineer, decompile, or disassemble any part of the Services

• Use the Services to send spam or unsolicited communications

• Resell, sublicense, or redistribute the Services without our written consent

You retain ownership of all documents, files, and data you upload to Papertrail ("Your Content"). By uploading content, you grant us a limited license to store, process, and display Your Content solely for the purpose of providing the Services to you.

You are solely responsible for the accuracy, quality, and legality of Your Content and for ensuring you have the right to upload and share it through our platform.

Our Services include AI-powered features for document scanning, categorization, renaming, and organization. By using these features, you acknowledge that:

• AI processing is provided on an "as-is" basis and may not always be 100% accurate

• You are responsible for reviewing and verifying AI-processed results

• We do not use your documents to train our AI models

• AI processing results are subject to the same security and privacy protections as your other data

Certain features of the Services require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase. Fees are non-refundable except as required by law or as explicitly stated in our refund policy.

We reserve the right to change our pricing with 30 days' advance notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

The Services, including all software, designs, text, graphics, and other content created by Papertrail, are protected by intellectual property laws. We retain all rights, title, and interest in the Services. These Terms do not grant you any right to use our trademarks, logos, or brand features without prior written consent.

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the data practices described in our Privacy Policy.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAPERTRAIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total aggregate liability for any claims arising from or related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our discretion, with reasonable notice where possible.

Upon termination, your right to use the Services ceases immediately. We will make your data available for export for 30 days following termination, after which it may be permanently deleted.

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in Cuyahoga County, Ohio.

We may modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on our platform at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.
